There are three types of Investment opportunities posted and accessible through this website:

1) Regulation Crowdfunding offerings (JOBS Act Title III), which are offered to non-accredited and accredited investors. These offerings are made through Equity St. Portal, LLC, a funding portal registered with the US Securities and Exchange Commission (SEC) and a member of Financial Industry Regulatory Authority (FINRA).

2) Regulation D offerings (Rule 506(c)), which are offered only to accredited investors. These offerings are hosted by Equity St. Capital Corp, which is not registered with the SEC or FINRA, and whose involvement in the offering is limited to maintaining the platform and providing certain ancillary services permitted by 15 U.S.C. 77d(c).

3) Regulation A offerings, which are offered to accredited and unaccredited investors. These offerings are hosted by Equity St. Capital Corp, which is not registered with the SEC or FINRA, and whose involvement in the offering is limited to maintaining the platform, assisting the issuer in preparation of the offering materials using content provided by the issuer (or its officers or directors), and performing ministerial and clerical work connected with the offering. Regulation A offerings may additionally involve a FINRA registered broker, whose involvement will be prominently disclosed in the offering materials.
